1. Introduction and acceptance
These Terms of Service ("Terms") govern your access to and use of the Jazzcat platform, including the website at jazzcat.com, the Jazzcat mobile application ("Jazzcat: Jazz Events & Tickets"), and all related services (collectively, the "Platform"), operated by Jazzcat Ltd, a company registered in England and Wales ("Jazzcat", "we", "us", or "our").
By creating an account, purchasing a ticket, or otherwise using the Platform, you agree to be bound by these Terms, our Privacy Policy, and our Cookie Policy. If you do not agree, you must not use the Platform.
We may update these Terms from time to time. We will notify you of material changes by email or in-app notification at least 30 days before they take effect. Your continued use of the Platform after the updated Terms become effective means you accept them.
2. Definitions
In these Terms:
- "Content" means any text, images, audio, video, data, listings, reviews, ratings, comments, or other materials posted on or through the Platform.
- "Event" means any jazz performance, concert, gig, festival, or related happening listed on the Platform.
- "Event Organiser" means any Venue, promoter, Musician, or other entity that lists Events on the Platform, whether through native integration or aggregated listings.
- "Fan" means any User who uses the Platform primarily to discover Events and purchase Tickets.
- "Musician" means any User who creates a profile on the Platform to promote their musical activities and Events.
- "Native Ticketing" means ticket sales processed directly through the Platform via our payment infrastructure.
- "Redirected Listing" means an Event listing where ticket purchases are completed on a third-party website rather than through Native Ticketing.
- "Ticket" means a licence to attend a specific Event, purchased through Native Ticketing.
- "User" means any individual who accesses or uses the Platform, including Fans, Musicians, and Venues.
- "User Content" means any Content posted by Users through the Platform, including reviews, ratings, comments, profile information, and uploaded media.
- "Venue" means any physical location where Events take place that has a profile on the Platform.
3. Eligibility and account registration
3.1 Age requirements
You must be at least 13 years old to create an account on the Platform. If you are between 13 and 15 years of age (inclusive), you must have the consent of a parent or legal guardian, under the UK General Data Protection Regulation (UK GDPR). Users under 16 may not purchase Tickets without the involvement of a parent or legal guardian.
3.2 Account registration
To access certain features of the Platform, you must create an account. You may register using your email address or through a supported third-party provider (such as Google or Apple Sign-in). You agree to:
- Provide accurate, current, and complete information during registration.
- Keep your account credentials secure and confidential.
- Notify us immediately of any unauthorised access to your account.
- Accept responsibility for all activity that occurs under your account.
We may suspend or terminate accounts that contain inaccurate information or that violate these Terms.
3.3 Account types
The Platform supports three types of user profiles: Fan, Musician, and Venue. Different features and obligations apply to each account type, and some features may require a paid subscription (see Section 6).
4. The Platform
4.1 What we provide
Jazzcat is a jazz discovery and ticketing platform. We provide:
- A searchable directory of jazz Events across the United Kingdom and the United States.
- Venue and Musician profiles with genre filtering across 33 jazz subgenres.
- Native Ticketing for select Events, processed through Stripe Connect.
- Redirected Listings for Events where tickets are sold through third-party platforms.
4.2 Aggregated listings
The Platform aggregates Event information from publicly available sources to provide broad jazz event coverage. Aggregated listings may include Events from Venues that have not entered into a direct partnership with Jazzcat. We make reasonable efforts to ensure accuracy but do not guarantee it. The Event Organiser remains the authoritative source for Event details including dates, times, lineup, and pricing.
4.3 Redirected listings
For certain Events, the Platform will redirect you to a third-party website to complete your ticket purchase. In these cases, your transaction is governed by that third-party platform's terms and conditions, not these Terms. Jazzcat is not a party to any transaction completed on a third-party platform and accepts no liability for such transactions.
4.4 Availability
We aim to keep the Platform available at all times but do not guarantee uninterrupted access. We may temporarily suspend or restrict access for maintenance, updates, or reasons beyond our reasonable control.
4.5 Accessibility
We are committed to making the Platform accessible to all users, including those with disabilities. We aim to comply with the Web Content Accessibility Guidelines (WCAG) 2.1 at Level AA, and with our obligations under the Equality Act 2010 (UK) and the Americans with Disabilities Act (US). If you experience any accessibility barriers when using the Platform, please contact us at the details in Section 19.
5. Ticketing and purchases
5.1 Native Ticketing
Where Events are sold through Native Ticketing, Jazzcat acts as a disclosed agent of the Event Organiser for the purposes of the ticket sale. This means the contract for admission to the Event is between you and the Event Organiser, not between you and Jazzcat. Jazzcat facilitates the transaction and processes payments on behalf of the Event Organiser via Stripe Connect. Jazzcat is not responsible for the Event itself, including its quality, safety, or management.
5.2 Pricing and fees
Ticket prices are set by Event Organisers. Jazzcat applies a service fee of 7% of the ticket price to each Native Ticketing transaction. The fee is clearly displayed before you confirm your purchase. All prices are shown inclusive of applicable taxes unless stated otherwise.
5.3 Payment processing
All payments for Native Ticketing are processed securely through Stripe. By making a purchase, you agree to Stripe's terms of service. We do not store full payment card details; these are processed by Stripe. We accept major credit and debit cards as displayed at checkout.
5.4 Order confirmation
After successful payment, you will receive an order confirmation and e-ticket via email and/or within the app. Your e-ticket is your licence to attend the Event, subject to the Event Organiser's own terms of admission.
5.5 Refunds and cancellations
Refund policies for Events sold through Native Ticketing are determined by the Event Organiser, subject to applicable consumer protection law. In general:
- Cancelled Events: If an Event is cancelled by the Event Organiser, you are entitled to a full refund of the ticket price. The 7% service fee is non-refundable. We will process refunds within 14 days of the cancellation being confirmed.
- Postponed Events: If an Event is postponed, your Ticket will typically remain valid for the rescheduled date. If you cannot attend the rescheduled date, you may request a refund from the Event Organiser.
- Change of mind: Tickets are generally non-refundable once purchased, unless the Event Organiser's own refund policy says otherwise or applicable law requires it.
- Consumer rights: Nothing in these Terms affects your statutory rights under the Consumer Rights Act 2015, the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, or any other applicable consumer protection legislation.
5.6 Resale
Tickets purchased through Native Ticketing may not be resold at a price exceeding the original face value plus any service fees. Jazzcat reserves the right to cancel Tickets that have been resold in breach of this provision.
6. Subscription services
Jazzcat may offer paid subscription tiers for Venues and Musicians ("Pro Subscriptions"). Pro Subscriptions provide access to additional features such as advanced analytics, priority placement, and enhanced management tools.
6.1 Billing
Pro Subscriptions are billed on a recurring monthly basis at the price displayed at the time of subscription. Prices may change with at least 30 days' notice.
6.2 Cancellation
You may cancel your Pro Subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. No partial refunds are provided for unused portions of a billing period.
6.3 Free trial
We may offer free trial periods for Pro Subscriptions. We will notify you by email at least 7 days before the trial ends and the first charge occurs. Unless you cancel before the trial ends, your subscription will automatically convert to a paid subscription at the price displayed when you started the trial.
7. User Content
7.1 Your responsibilities
You are solely responsible for any User Content you post through the Platform. By posting User Content, you represent and warrant that:
- You own or have the necessary rights, licences, and permissions to post the User Content.
- Your User Content does not infringe the intellectual property, privacy, or other rights of any third party.
- Your User Content is accurate and not misleading.
- Your User Content complies with these Terms and all applicable laws.
7.2 Licence grant
By posting User Content, you grant Jazzcat a worldwide, non-exclusive, royalty-free licence to use, reproduce, modify, adapt, publish, translate, distribute, and display your User Content for the purpose of operating and promoting the Platform. We may sublicense these rights to service providers who help us operate the Platform (for example, hosting providers and content delivery networks), but not for any unrelated purpose. This licence survives deletion of your account only to the extent necessary (for example, reviews that remain visible to other Users).
7.3 Content standards
User Content must not:
- Be unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable.
- Contain spam, unsolicited advertising, or promotional material.
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
- Contain malicious code, viruses, or other harmful technology.
- Violate the privacy or data protection rights of any third party.
- Promote discrimination, hatred, or violence against any individual or group.
- Contain false or misleading reviews, ratings, or recommendations.
7.4 Moderation
We may monitor, review, edit, or remove any User Content at our discretion and without notice if we reasonably believe it violates these Terms or is otherwise harmful. Repeated violations may result in account suspension or deletion.
7.5 Reporting
If you believe that any User Content violates these Terms or infringes your rights, you may report it through the reporting features on the Platform or by contacting us at the details in Section 19.
8. Intellectual property
8.1 Our intellectual property
All intellectual property rights in the Platform — the Jazzcat name, the Jazzcat logo (black cat silhouette on amber/yellow), the @jazzcatapp social media handles, and all software, design, text, graphics, and other materials (excluding User Content) — are owned by or licensed to Jazzcat Ltd. You may not use, reproduce, or distribute any of our intellectual property without our prior written consent.
8.2 Trademarks
"Jazzcat" and associated logos are trademarks of Jazzcat Ltd. Trademark applications are pending with the UK Intellectual Property Office (IPO) and the United States Patent and Trademark Office (USPTO). Unauthorised use of our trademarks is prohibited.
8.3 Your intellectual property
You retain ownership of any intellectual property rights in your User Content, subject to the licence granted in Section 7.2.
9. Prohibited conduct
You agree not to:
- Use the Platform for any unlawful purpose or in violation of any applicable law.
- Attempt to gain unauthorised access to any part of the Platform, other Users' accounts, or any connected systems or networks.
- Use automated scripts, bots, scrapers, or other automated means to access or collect data from the Platform without our prior written consent.
- Interfere with or disrupt the integrity or performance of the Platform or its underlying infrastructure.
- Circumvent, disable, or interfere with any security or access control features of the Platform.
- Use the Platform to transmit any malware, viruses, or other harmful code.
- Engage in ticket scalping, fraudulent transactions, or deceptive ticketing practices.
- Create multiple accounts to evade bans or restrictions.
- Harvest or collect personal data of other Users without their consent.
- Use the Platform in any manner that could damage, disable, overburden, or impair it.
10. Third-party services and links
The Platform integrates with and may link to third-party services, including:
- Stripe — payment processing for Native Ticketing via Stripe Connect.
- Google LLC — Google Sign-in authentication, Firebase Cloud Messaging (push notifications), and Google Play ecosystem services.
- Apple Inc. — Sign in with Apple, Apple Push Notification service (APNs), and App Store ecosystem services.
- Appwrite (Appwrite Code Ltd) — authentication, database, storage, cloud functions, backend infrastructure, and messaging/push target management. Data hosted in the EU (Frankfurt, Germany).
- Twilio — SMS messaging.
- Resend — transactional email delivery.
- Cloudflare — CDN, edge delivery, security, and bot mitigation (including Cloudflare Turnstile).
- Mapbox — mapping and geolocation services.
- PostHog (EU) — product analytics. Data hosted in the EU.
- Third-party Venue websites for Redirected Listings.
Unified Projects Ltd provides technical development, maintenance, and support services to Jazzcat as a data processor. Unified Projects does not operate the Platform.
These third-party services are governed by their own terms and privacy policies. Jazzcat is not responsible for the content, functionality, or practices of any third-party service. Your use of them is at your own risk.
11. Disclaimers
11.1 Platform "as is"
The Platform is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory, to the fullest extent permitted by law. We do not warrant that the Platform will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
11.2 Event information
While we make reasonable efforts to ensure the accuracy of Event listings (including aggregated listings), we do not guarantee that Event information is complete, accurate, or current. Event details such as dates, times, lineups, and pricing may change without notice. You should verify Event details with the Event Organiser before attending.
11.3 No endorsement
The listing of an Event or Venue on the Platform is not an endorsement, recommendation, or guarantee of quality by Jazzcat. User reviews, ratings, and comments are the opinions of individual Users and do not reflect the views of Jazzcat.
12. Limitation of liability
12.1 Exclusions
Nothing in these Terms excludes or limits our liability for:
- Death or personal injury caused by our negligence.
- Fraud or fraudulent misrepresentation.
- Any other liability that cannot be excluded or limited under applicable law.
12.2 Limitations
Subject to Section 12.1, to the maximum extent permitted by law:
- Jazzcat is not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business opportunity.
- Jazzcat is not liable for any loss or damage relating to Redirected Listings or transactions completed on third-party platforms.
- Jazzcat is not liable for the acts or omissions of Event Organisers, including cancellations, postponements, changes to lineups, or the quality of Events.
- Our total aggregate liability to you for all claims relating to these Terms or the Platform shall not exceed the greater of (a) the total fees paid by you to Jazzcat in the 12 months preceding the claim, or (b) £100.
13. Indemnification (business users)
This Section 13 applies only to Users who hold a Pro Subscription or who use the Platform in a business capacity (Venues, Musicians, and Event Organisers). It does not apply to Fans or other consumers.
If you are a business user, you agree to indemnify, defend, and hold harmless Jazzcat Ltd, its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from:
- Your use of the Platform in a business capacity.
- Your User Content.
- Your violation of these Terms or any applicable law.
- Your infringement of the rights of any third party.
14. Termination
14.1 By you
You may delete your account at any time through your account settings or by contacting us. Upon deletion, your right to use the Platform ceases immediately. Any outstanding Ticket obligations or pending transactions will be honoured under these Terms.
14.2 By us
We may suspend or terminate your account, or restrict your access to the Platform, if we reasonably believe that:
- You have violated these Terms.
- Your account has been used for fraudulent or illegal activity.
- You have repeatedly posted User Content that violates Section 7.3.
- We are required to do so by law or by a court order.
Where we terminate your account for any other reason, we will give you at least 30 days' written notice and an explanation. You may appeal any termination decision by contacting us at the details in Section 19.
14.3 Effect of termination
Upon termination, provisions that by their nature should survive (including Sections 7.2, 8, 12, 13, 15, 16, and 17) will continue to apply.
15. Data protection and privacy
15.1 How we process your data
We process personal data under our Privacy Policy, which is incorporated into these Terms by reference. In summary, our lawful bases for processing under UK GDPR are:
- Contract performance — to create and manage your account, process Ticket purchases, and deliver the Platform's core services.
- Legitimate interests — to improve the Platform, personalise recommendations, prevent fraud, and ensure security.
- Consent — for marketing communications, non-essential cookies, and analytics where consent is required by law.
- Legal obligation — to comply with tax, accounting, and other regulatory requirements.
15.2 Data retention
We retain your personal data only for as long as necessary to fulfil the purposes for which it was collected, or as required by law. Our Privacy Policy sets out our retention periods for each category of data.
15.3 Your rights
Depending on your location, you have rights over your personal data. Under UK GDPR and EU GDPR, these include the right to access, rectify, erase, restrict processing, data portability, and object to processing. Under the California Consumer Privacy Act (CCPA/CPRA), California residents have the right to know what personal information is collected, to delete it, to correct inaccurate personal information, to opt out of the sale or sharing of personal information, and to limit the use of sensitive personal information. Jazzcat does not sell your personal information. To exercise any of these rights, contact us at privacy@jazzcat.com.
You also have the right to lodge a complaint with the UK Information Commissioner's Office (ico.org.uk) or, if you are in the EEA, your local supervisory authority.
15.4 International transfers
Where we transfer personal data outside the UK or EEA, we rely on adequacy decisions or standard contractual clauses approved by the UK Information Commissioner's Office or the European Commission, as applicable.
15.5 Data breaches
In the event of a personal data breach that is likely to affect your rights, we will notify you as required under applicable law. Our Privacy Policy provides further details on our breach notification procedures.
15.6 EU representative
If required under Article 27 of the EU GDPR, we will appoint a representative in the European Union. Details will be published in our Privacy Policy once confirmed.

Our Privacy Policy provides full details of how we collect, use, store, and share your personal data, and your rights under the UK GDPR, the EU GDPR, and the CCPA/CPRA.
16. Governing law and disputes
16.1 Governing law
These Terms are governed by the laws of England and Wales.
16.2 Jurisdiction
Any dispute relating to these Terms is subject to the exclusive jurisdiction of the courts of England and Wales, except that:
- If you are a consumer habitually resident in another jurisdiction, you may also bring proceedings in the courts of that jurisdiction.
- If you are a consumer in the European Economic Area, you may also use the European Commission's Online Dispute Resolution platform.
- If you are a consumer in the United States, applicable state consumer protection laws apply to the extent they cannot be waived.
16.3 Informal resolution
Before starting formal legal proceedings, you agree to try to resolve any dispute informally by contacting us. We will aim to resolve disputes within 30 days of receiving your complaint.
17. General provisions
17.1 Entire agreement
These Terms, together with our Privacy Policy, Cookie Policy, and any applicable Purchase Terms, are the entire agreement between you and Jazzcat regarding your use of the Platform.
17.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions continue in full force and effect.
17.3 Waiver
No failure or delay by Jazzcat in exercising any right under these Terms is a waiver of that right.
17.4 Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms to a successor entity (for example, in connection with a merger, acquisition, or sale of assets), provided the assignee agrees to be bound by these Terms.
17.5 Force majeure
Jazzcat is not liable for any failure or delay in performing its obligations under these Terms where caused by circumstances beyond its reasonable control, such as natural disasters, pandemics, acts of government, strikes, power failures, or internet service disruptions.
17.6 No third-party rights
These Terms do not confer any rights on any person other than the parties to these Terms and, where applicable, their successors and permitted assigns. Nothing in these Terms creates rights enforceable by third parties under the Contracts (Rights of Third Parties) Act 1999.
18. Electronic communications
By using the Platform, you consent to receiving communications from us electronically (by email and in-app notifications). You agree that all notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.
19. Notice regarding Apple
19.1 US Notice
This Section only applies to the extent you are using our App on an iOS device. You acknowledge that these Terms of Use are between you and Jazzcat only, not with Apple Inc. ("Apple"), and Apple is not responsible for the App or the content thereof. Apple has no obligation to furnish any maintenance and support services with respect to the App. If the App fails to conform to any applicable warranty, you may notify Apple and Apple will refund any applicable purchase price for the App; to the maximum extent permitted by applicable law, Apple has no other warranty obligation with respect to the App. Apple is not responsible for addressing any claims by you or any third party relating to the App or your possession and/or use of the App, including: (a) product liability claims; (b) any claim that the App fails to conform to any applicable legal or regulatory requirement; or (c) claims arising under consumer protection or similar legislation. Apple is not responsible for the investigation, defense, settlement, and discharge of any third-party claim that the App and/or your possession and use of the App infringe a third party's intellectual property rights. You agree to comply with any applicable third-party terms when using the App. Apple and Apple's subsidiaries are third-party beneficiaries of these Terms of Use, and upon your acceptance of these Terms of Use, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms of Use against you as a third-party beneficiary thereof. You represent and warrant that: (i) you are not located in a country subject to a U.S. Government embargo or designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.
19.2 UK Notice
This Section only applies to the extent you are using our App on an iOS device. You acknowledge that these Terms of Use are between you and Jazzcat only, not with Apple Inc. ("Apple"), and Apple is not responsible for the App or the content thereof. Apple has no obligation to furnish any maintenance and support services with respect to the App. If the App fails to conform to any applicable warranty, you may notify Apple and Apple will refund any applicable purchase price for the App; to the maximum extent permitted by applicable law (including the Consumer Rights Act 2015), Apple has no other warranty obligation with respect to the App. Apple is not responsible for addressing any claims by you or any third party relating to the App or your possession and/or use of the App, including: (a) product liability claims; (b) any claim that the App fails to conform to any applicable legal or regulatory requirement; or (c) claims arising under the Consumer Rights Act 2015 or other applicable consumer protection legislation. Apple is not responsible for the investigation, defense, settlement, and discharge of any third-party claim that the App and/or your possession and use of the App infringe a third party's intellectual property rights. You agree to comply with any applicable third-party terms when using the App. Apple and Apple's subsidiaries are third-party beneficiaries of these Terms of Use, and upon your acceptance of these Terms of Use, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms of Use against you as a third-party beneficiary thereof. You represent and warrant that: (i) you are not located in a country subject to UK Government sanctions administered by His Majesty's Treasury (OFSI) or otherwise designated as a jurisdiction subject to UK financial or trade restrictions; and (ii) you are not listed on any UK Government list of prohibited or restricted parties, including any sanctions list maintained by the Office of Financial Sanctions Implementation (OFSI).
